Security Management Consultant Certification Agreement

This Security Management Consultant Certification Agreement ("Agreement") is made and entered into as of the date You (“Participant”) successfully complete the Head of Security – Security Management Consultant Course, by and between Head of Security LLC ("Company") and You ("Participant").

1. Purpose

1.1

The purpose of this Agreement is to certify the Participant as a Security Management Consultant upon successful completion of the "Head of Security - Security Management Consultant Course."

2. Independent Contractor Status

2.1

The Participant acknowledges that this certification does not constitute employment with the Company. The Participant is an independent contractor and not an employee, agent, or representative of the Company.

2.2

The Participant shall not have the authority to act as an agent of the Company or bind the Company in any manner.

3. Certification

3.1

Upon successful completion of the course, the Company will issue a certification to the Participant, recognizing them as a certified Security Management Consultant.

3.2

This certification allows the Participant to represent themselves as a Security Management Consultant certified by Head of Security LLC.

4. Responsibilities of the Participant

4.1

The Participant shall conduct their consulting services in a professional and ethical manner, maintaining the standards set forth by Head of Security LLC.

4.2

The Participant shall comply with all applicable laws and regulations in the course of their consulting activities.

5. Use of Certification

5.1

The Participant is authorized to use the certification and associated materials (e.g., logos, branding) in their marketing and professional activities, provided such use is in compliance with the Company's guidelines.

5.2

The Participant agrees not to misrepresent their certification status or the nature of their relationship with the Company.

6. Confidentiality

6.1

The Participant agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the Company during the course.

7. Restrictions on Course Material Usage

7.1

The Participant agrees that they are not allowed to use any of the material presented to them in this course for their own purposes or for monetary gain outside of their consulting activities as a Security Management Consultant certified by Head of Security LLC.

8. Term and Termination

8.1

This Agreement shall commence on the date the Participant successfully completes the Head of Security – Security Management Consultant Course and shall continue until terminated by either party upon written notice.

8.2

The Company reserves the right to revoke the certification at any time, with or without cause, especially if the Participant is found to be in violation of any terms of this Agreement or the Company’s guidelines.

8.3 Refund Policy

Refunds will only be issued if the purchaser requests the refund within 24 hours of purchase and they have not yet started the course. Starting the course means opening the course and/or viewing any course material. If it is determined the purchaser has started the course, then no refund will be issued. Head of Security LLC reserves the right, with or without cause, to refuse a refund at any time.

9. Miscellaneous

9.1

This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.

9.2

This Agreement may be amended at any time by Head of Security LLC with or without notice to Participant and will supersede all previous agreements.

9.3

All questions concerning the construction, validity, interpretation, enforcement, or performance of this Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to any principles of conflicts of law. With respect to all disputes between the parties hereto, any dispute related to this Agreement or the performance thereof shall be exclusively litigated in the Circuit Court of Cook County, Illinois or the United States District Court for the Northern District of Illinois. The Participant and the Company freely consent to the personal jurisdiction and venue of these courts, each waive any right to argue that personal jurisdiction or venue in these venues is improper, inappropriate, or inconvenient, and each party waives any right to assist, participate in, or consent to any such suit, action or proceeding being transferred to or litigated in any other court. The parties agree that if the Participant or the Company brings an action to enforce any provision of this Agreement, including any suit by the Company seeking injunctive relief to enforce the restrictive covenants set forth herein, the prevailing party shall be entitled to recover from the non-prevailing party any and all reasonable costs, expenses, and attorneys’ fees incurred to enforce such claim.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date the Participant successfully completes the Head of Security – Security Management Consultant Course.

NO SIGNATURE IS NECESSARY. BY PURCHASING AND/OR COMPLETING THE HEAD OF SECURITY – SECURITY MANAGEMENT CONSULTANT COURSE, YOU AGREE TO THIS AGREEMENT.
